Unless otherwise defined, all the terms used herein shall carry the same meaning as defined in the announcement of PESTECH dated 4 October 2024, 17 October 2024, 21 November 2024, 22 November 2024, 25 November 2024, 10 December 2024 and 12 December 2024 in relation to the Proposals.

On behalf of the Board of Directors of PESTECH, Alliance Islamic Bank Berhad wishes to announce that PESTECH and DMIA had vide a letter dated 13 December 2024 (“Supplemental Letter”) agreed to the following in respect of the Subscription Agreement:

(i)     to waive the following conditions precedent pursuant to the Subscription Agreement:

(a)     the approval(s) or consent(s) from relevant financiers and counterparties to contracts entered into by PESTECH for the subscription of the Restricted Shares by DMIA and the change to the Board as contemplated under the Subscription Agreement; and

(b)     DMIA's satisfactory findings of the due diligence review,

provided always that the conditions precedent for Paragraph (i)(a) above are satisfied to the satisfaction of DMIA within one (1) month from the Unconditional Date or such other date as DMIA may, at its sole discretion, agree in writing; and

(ii)    to waive the requirement for PESTECH to provide a copy of the Group Companies’ unaudited accounts for the period from the date immediately following the management accounts date up to two (2) calendar months before the Completion Date (should the Completion Date fall between 1st and 20th day of the month) or the calendar month immediately before the Completion Date (should the Completion Date fall after the 20th day of the month), as the case may be, together with the notes and all other documents annexed thereto on the Completion Date, provided always that the same shall be provided to DMIA within one (1) month from the Unconditional Date or such other date as DMIA may, at its sole discretion, agree in writing.

Save and except for the amendments contained in the Supplemental Letter, all the terms and conditions of the Subscription Agreement shall remain in full force and effect and shall be read and construed as one instrument together with the Supplemental Letter.

Following the execution of the Supplemental Letter, the Subscription Agreement have become unconditional on 13 December 2024 and in accordance with the terms of the Subscription Agreement, the Proposed Restricted Issue is expected to be completed within eight (8) market days after the Subscription Agreement becomes unconditional.

A copy of the Supplemental Letter will be available for inspection at the registered office of PESTECH at No. 26, Jalan Utarid U5/14, Seksyen U5, 40150 Shah Alam, Selangor Darul Ehsan, during normal business hours from Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this announcement.
