On behalf of the Board of Directors of Theta ("Board"), UOB Kay Hian Securities (M) Sdn Bhd ("UOBKH") wishes to announce that the Company had on 7 February 2025 entered into a conditional share subscription agreement with Threadstone Capital Sdn Bhd ("Threadstone") ("Subscription Agreement") whereby Threadstone will subscribe for an aggregate amount of 35,390,270 new ordinary shares in Theta ("Theta Share(s)" or "Share(s)") ("Subscription Share(s)") at an issue price of RM1.30 ("Subscription Price") per Subscription Share to be fully satisfied in cash in accordance with the terms and conditions of the Subscription Agreement ("Proposed Subscription").

Further details of the Proposed Subscription are set out in the attachment enclosed.
